RECITALS: SBE is a group purchasing organization (GPO), which secures contracts for the provision of goods and services (the Contracts) by suppliers (the Contracted Suppliers) upon favorable terms and prices for Member. Member desires to be eligible to purchase goods and services from the Contracted Suppliers upon favorable terms pursuant to the Contracts. 

AGREEMENTS: SBE shall enter into such Contracts with the Contracted Suppliers as it determines is favorable to Member. From time to time, SBE shall supply Member with a current list of the Contracted Suppliers and their prices for goods and services provided. Member shall be entitled, at it’s sole discretion, to purchase good and services from the Contracted Suppliers subject to and pursuant to the terms of the applicable Contracts. Member understands that SBE is a GPO only and is not acting as an agent or employee of Member or of the Contracted Supplier when entering into the Contract with the Contracted Suppliers. SBE is acting solely as a GPO and Member hereby releases, indemnifies and hold harmless SBE from and against any claims (including reasonable attorney fees), which may be asserted against SBE relating to or arising from the provision or the failure of Contracted Supplier to provide any goods or services to Member or for the quality of the good or services provided by Contracted Supplier to Member. 

Member understands that Member is solely and completely liable for the payment to Contracted Supplier for any goods or services provided to Member by Contracted Supplier and hereby releases, indemnifies and holds harmless SBE from any and all claims arising from Member’s nonpayment to Contracted Supplier for any good or services provided. Member acknowledges that there is a monthly fee of $14.99 due and payable by Member to SBE for participation in this GPO Agreement. This Agreement may be terminated at any time by either party, with or without cause. Member agrees that SBE, LLC shall have full authority to disclose any and all information concerning Member and Member’s business, including but not limited to any and all financial information, that SBE, LLC, in it’s sole discretion, deems necessary to further the business of SBE, LLC and in furtherance of this contract between Member and SBE, LLC.
